Agreement entered into on ____________________ between SOUTHWESTERN UNIVERSITY SCHOOL OF LAW, SOUTHWESTERN LAW REVIEW (hereinafter “Publisher”), 675 South Westmoreland Avenue, Los Angeles, California, 90005-3922, and [AUTHOR NAME], (hereinafter “Author”), whose address is [ADDRESS].
In consideration of the premises and mutual promises hereinafter set forth, Publisher and Author agree together with respect to a Work tentatively entitled:
[“ARTICLE TITLE”] (hereinafter “Work”), that:
The Author grants and assigns to the Publisher the Copyright in the work together with all rights in the Work now or hereafter existing, including, but not limited to, the right to print, publish, and sell the Work and the right to include the Work in all forms of electronic retrieval devices (including, but not limited to Lexis and Westlaw), computer database systems, and all other forms of Copies and Phonorecords in which said Work may be fixed by means now known and hereafter devised. If the completed Work delivered by the Author is not, in the Publisher’s sole discretion, acceptable in either form or content, the Publisher may terminate this agreement by written or oral notice. Upon notice of termination, the obligations and liabilities of the respective parties shall immediately cease, except as provided in paragraph three (3) and four (4). The Author warrants that he/she is the sole author and owner of the Work and is empowered to enter into this Agreement and has not previously granted or encumbered the rights encompassed within this Agreement; that the Work is original, unpublished, and not defamatory, obscene, or violative of any right of privacy, common law, or statutory Copyright, or other personal or property rights. This warranty shall survive the termination of this Agreement. The Author agrees to indemnify and hold harmless the Publisher, its licenses, and purchasers from all costs, expenses (including, but not limited to attorney’s fees), losses, liabilities, damages, and settlements arising out of or in connection with any claim or suit based on allegation which, if true, would constitute a breach of the warranties expressed in paragraph three (3) of the Agreement. This indemnification shall survive the termination of this Agreement. The format, style of printing and binding, and all other matters relating to the manufacture, sale, distribution, and promotion of the Work shall be determined at the sole discretion of the Publisher. The Publisher may make any editorial changes in the Work subject to written or oral consent of the Author, which consent may not be withheld unreasonably. SOUTHWESTERN UNIVERSITY AUTHOR
