The Virginia Tax Review Association has entered into an agreement with Professor XXXXXX to publish in the Virginia Tax Review his article entitled XXXXXX. In order to be able to register with the United States Copyright Office the issue of the Virginia Tax Review in which the aforementioned article is to be published, and in order to make the article available to subscribers of LexisNexis, West Publishing Company’s Westlaw Service, Mead Data Central’s Lexis Service, Tax Law and Policy, and other electronic databases with which we enter into distribution arrangements, we request that you enter into the following agreement relating to the publication of your article:

1. You grant the Virginia Tax Review Association the nonexclusive right to publish, reproduce, distribute, and use, and to authorize the publication, reproduction, distribution, and use of the article, including but not limited to copies of the issue of the Virginia Tax Review in which the article first appears and any bound volumes including such issue, individual reprints, electronic media, computerized retrieval systems, and other similar forms. You agree not to authorize publication of the article elsewhere in any format or medium for a period of ninety (90) days following the date of first publication by the Virginia Tax Review Association. If and when you do authorize publication elsewhere, you agree to require of the other publisher/distributor inclusion of the following notice: “This article first appeared in the Virginia Tax Review in [the original Virginia Tax Review publication date.]”

2. You grant the Virginia Tax Review Association the right to transfer or sublicense the rights granted in this agreement.

3. You represent and warrant that you have full power and authority to enter into this agreement and to grant the rights stated above. You represent and warrant that the Article is your original work, that you own the copyright in its entirety, that it contains no material that infringes the copyright of any other person, and that it has not been published previously. You agree to make any changes to text or footnotes deemed necessary by the Virginia Tax Review Association to ensure that your work does not infringe the copyright of another.

4. You agree to provide a 500-word abstract of your article to the Virginia Tax Review Association and grant the Virginia Tax Review Association the right to allow Tax Law and Policy/SSRN to publish the abstract on their database.

5. The Virginia Tax Review Association reserves the right to rescind any offer of publication if it determines that the submission is not solely the work of the authors, if cited authorities and quotations are not given proper credit, or for any other appropriate reason.

Please indicate your agreement with the foregoing by countersigning two copies of this contract. One copy may be kept for your records; please return the other copy to the Virginia Tax Review Association.
