Dear Professor Doe:

Thank you for agreeing that the American Society of International Law (“ASIL”) may use your review of International Maritime Boundaries, Vol. V., edited by David A. Colson and Robert W. Smith (the “Work”). We would appreciate it if you would sign and return this letter to us, confirming ASIL’s understanding regarding the permission that you have granted to us to use your book review.

Specifically, by signing below:

1. You represent and warrant that the Work described in this letter is an original work of authorship. If it is based on any other materials, those materials are in the public domain.

2. For good and valuable consideration, you hereby grant to ASIL a perpetual, exclusive (except as indicated below), worldwide, royalty-free license to use and exploit the Work in any manner that ASIL deems appropriate, including without limitation by reproducing, distributing, adapting, and displaying the Work in any and all media, whether now existing or hereafter created. ASIL acknowledges and agrees that you may wish to post the Work on your Web site or to authorize the posting of the work on not-for-profit scholarly sites, and that such postings will not violate the terms of this agreement, provided that (a) you receive no monetary or other payment for such submissions, and (b) you include a legend with each such posting that states: “The final version of this article was published in the American Journal of International Law.”

3. You represent and warrant that: (a) you have not granted to anyone else rights inconsistent with the rights that you grant to ASIL in this letter, and (b) the Work does not infringe any copyright, trademark, trade name, or any other proprietary right, or violate any privacy right, or any other personal or property right, of any third party, or contain any obscene, libelous, defamatory, or scandalous matter or matter otherwise contrary to law.

4. You shall indemnify ASIL and shall hold ASIL harmless from any loss, liability, judgment, claim, damage, cost, or expense (including without limitation attorneys’ fees) (“Claims”), arising out of any claims or suits which may be brought or made against ASIL by reason of your breach of the representations and warranties made in this agreement, including without limitation any claim that ASIL’s authorized use of the Work infringes or otherwise violates any rights of any third party or contains any obscene, libelous, defamatory, or scandalous matter or matter otherwise contrary to law. You shall notify ASIL promptly in writing of any Claim or potential Claim. ASIL shall be entitled to participate in the defense of any Claim at its own expense with an attorney of its own choosing.

5. You acknowledge and agree that ASIL may, without limitation, further license the Work to others to the same extent that you have licensed the Work to ASIL.

Please indicate your agreement with these terms by signing and returning one original printout of this file to me.
